INTRODUCTION AND ACCEPTANCE OF TERMS
These Terms and Conditions govern the use of the Yadah Technologies website and the purchase of goods and services through our online store, physical branches, or other sales channels where these terms are applicable. Yadah Technologies is the trading name of Cheble Yadah Investments T/A Yadah Technologies, hereinafter referred to as “Yadah”, “we”, “us” or “our”. The customer, purchaser or website user is hereinafter referred to as “the Customer” or “you”.
By accessing our website, placing an order, making a purchase or using our services, you agree to be bound by these Terms and Conditions and any applicable policies published on our website. These Terms and Conditions are governed by the laws of the Kingdom of Eswatini. Nothing in these terms is intended to exclude, restrict or waive any consumer right or legal protection that cannot lawfully be excluded, restricted or waived under applicable law.
PRODUCT INFORMATION AND DESCRIPTIONS
We make reasonable efforts to ensure that product descriptions, specifications, images, prices and other information displayed on our website are accurate and up to date. However:
- Product images are for illustration purposes and may differ slightly from the actual product.
- Manufacturers may change product specifications, packaging, model revisions or accessories without prior notice.
- Product descriptions and compatibility information are based on information reasonably available to us.
- Customers should verify technical requirements and compatibility before purchasing specialised equipment.
- Where a material error or discrepancy is identified, we will take reasonable steps to correct the information and notify affected customers where appropriate.
- Nothing in this clause permits Yadah to supply goods that do not conform to applicable legal requirements or to disregard a customer’s statutory rights.
STOCK AVAILABILITY AND INVENTORY DISCLAIMER
Yadah operates in a dynamic retail and distribution environment. Stock may be held at our branches, warehouse, suppliers or other distribution locations. Although we make reasonable efforts to maintain accurate stock information, the quantities displayed on our website are indicative and may change due to sales, stock transfers, supplier updates, returns, damaged goods or administrative delays. Accordingly:
- Products displayed online are subject to availability.
- An order acknowledgement or automated email does not necessarily constitute
final acceptance of an order. - Orders may be subject to stock confirmation, payment verification and final
acceptance by Yadah. - Stock will not be regarded as reserved unless Yadah confirms the reservation in
writing. - Customers are encouraged to wait for collection confirmation before travelling to
a branch.
If an item becomes unavailable after an order has been placed or paid for, Yadah may contact the Customer to offer one of the following options:
- An equivalent or alternative product, subject to the Customer’s agreement.
- A transfer from another branch or supplier, where reasonably possible.
- A backorder or delayed fulfilment arrangement, subject to the Customer’s
agreement. - Cancellation of the affected item and a refund of the amount paid for that item,
where appropriate.
Yadah will not substitute a product or charge a higher price without the Customer’s
agreement.
We are not responsible for stock discrepancies that arise despite reasonable care, but
this does not exclude liability for any remedy required by applicable law.
PRICING, CURRENCY AND TAXES
All prices displayed on our website are stated in the currency indicated at checkout, ordinarily Emalangeni (SZL/E). Unless expressly stated otherwise:
- Product prices exclude delivery charges, which will be displayed separately
where applicable. - Applicable VAT and other legally required taxes will be disclosed as required by
law. - Any additional charges must be communicated to the Customer before the order
is finalised. - Prices may change from time to time without affecting an order that Yadah has
already accepted, except where a lawful adjustment has been agreed with the
Customer or is otherwise permitted by law.
Pricing Errors
While we take reasonable steps to ensure that prices are correct, genuine technical, typographical, supplier-feed or administrative errors may occur. If an error is discovered before an order is accepted, Yadah may place the order on hold and contact the Customer to explain the discrepancy. The Customer may choose to proceed at the corrected price or cancel the affected order. Any amount paid for an order that is cancelled must be refunded as required by applicable law. Yadah will not use a pricing-error provision to avoid a binding contract where doing so would be unlawful.
Quotations
Unless otherwise stated, quotations are valid for the period indicated on the quotation. A quotation may be revised before acceptance if there is a material change in supplier pricing, exchange rates, freight costs, product specifications, taxes or other relevant costs. Any revised quotation will be communicated to the Customer for acceptance before the revised price is applied.
ORDER PLACEMENT AND ACCEPTANCE
When placing an order, the Customer is responsible for providing accurate contact information, billing details, delivery addresses and product selections. After an order is submitted, Yadah may send an acknowledgement confirming that the order has been received. An acknowledgement does not necessarily mean that the order has been accepted or dispatched.
An order will generally be considered accepted when Yadah issues an order confirmation, confirms the transaction through an authorised representative or otherwise communicates acceptance in accordance with applicable law. Yadah reserves the right, subject to applicable law, to decline or cancel an order where:
- The requested product is unavailable.
- Payment has not been received or cannot be verified.
- There are reasonable grounds to suspect fraud or unauthorised payment.
- Material information supplied by the Customer is incorrect.
- A genuine pricing or technical error prevents the order from being fulfilled as
submitted. - The order cannot reasonably be fulfilled because of circumstances beyond
Yadah’s control.
Where payment has already been received for an order that cannot be fulfilled, Yadah will arrange the appropriate refund in accordance with applicable law.
PAYMENT TERMS
Payment methods accepted by Yadah will be indicated at checkout or communicated by an authorised representative. The Customer must ensure that payment is made through an approved payment channel and that the payment details are accurate. An order may remain pending until payment has been successfully verified. For bank transfers, electronic funds transfers or other payment methods that require clearing, processing may be delayed until the funds are received and confirmed. Customers should not rely solely on payment screenshots or proof of payment as confirmation that funds have cleared.
Fraud Prevention
Yadah may conduct reasonable checks to verify payments and protect customers against fraudulent transactions. Where a transaction requires additional verification, processing or dispatch may be delayed while the checks are completed. Yadah will not request that customers disclose their online banking passwords, card PINs or one-time authentication codes to our staff.
DELIVERY AND SHIPPING
Delivery charges, estimated delivery periods and available delivery options will be communicated during checkout or before the order is finalised. Delivery times are estimates unless a specific delivery commitment has been expressly agreed. Delivery may be affected by stock availability, supplier lead times, courier capacity, weather, road conditions, public holidays, customs procedures or other circumstances outside our reasonable control. The Customer is responsible for providing a complete and accurate delivery address and an accessible contact number. Where delivery fails because the address is incorrect, the Customer is unavailable or access cannot reasonably be obtained, additional delivery charges may apply if disclosed and lawfully recoverable. Yadah will communicate material delivery delays where reasonably practicable and work with the Customer to agree on an appropriate solution. Nothing in this clause removes any right to cancellation, refund or other remedy that applies under Eswatini law.
COLLECTION FROM BRANCHES
Customers may select branch collection where the option is available. Collection is subject to stock confirmation and the operating hours of the selected branch. Before collecting an order, customers may be required to provide:
- An order confirmation or order number.
- Proof of identity where reasonably necessary.
- Proof of payment where payment verification is required.
- Written authorisation where another person collects the order on the Customer’s
behalf.
Customers will be notified when an order is ready for collection. Customers should not travel to a branch before receiving confirmation that the goods are ready. If an order is not collected within a reasonable period, Yadah may contact the Customer to arrange collection or another agreed delivery option. Any cancellation, storage charge or refund will be handled in accordance with the agreed order terms and applicable law.
RISK, OWNERSHIP AND DELIVERY
Risk of loss or damage will pass to the Customer in accordance with the applicable delivery arrangement and the law governing the transaction. For ordinary customer deliveries, Yadah will remain responsible for risks that the law requires the seller to bear until the goods are properly handed over to the Customer or the Customer’s authorised recipient. Ownership of goods will transfer in accordance with applicable law and the terms of the transaction, ordinarily upon receipt of full payment and delivery of the goods. Nothing in this clause limits any statutory rights relating to goods that are lost, damaged, defective or not delivered as agreed.
RETURNS, EXCHANGES AND REFUNDS
Customers who wish to return an item must contact Yadah through the official customer service channels to obtain return instructions. Customers should provide the original invoice or order number, a description of the issue and any supporting photographs where appropriate. Returns must be authorised and sent to the designated branch or return location.
Faulty, Damaged or Incorrect Goods
If goods are defective, damaged on arrival, materially different from the description, or incorrectly supplied, the Customer should notify Yadah as soon as reasonably practicable.Yadah will assess the complaint and provide the remedy required under applicable law and any applicable manufacturer warranty. Depending on the circumstances and the legal requirements, the remedy may include repair, replacement, refund or another appropriate resolution. Customers should not be required to surrender statutory rights merely because a product has been opened or its packaging has been removed where the law provides otherwise.
Change-Of-Mind Returns
For goods that are not faulty, incorrect or otherwise subject to a statutory return right, change-of-mind returns are subject to Yadah’s published return policy and any terms agreed at purchase. Where a change-of-mind return is permitted, the item may need to be unused, complete and accompanied by its original packaging and proof of purchase. Yadah may decline a voluntary change-of-mind return where the product does not satisfy the stated return conditions, subject always to applicable law. Nothing in this clause excludes a cancellation or cooling-off right that may apply to an online transaction under Eswatini law.
Refund Processing
Approved refunds will ordinarily be processed using the original payment method where reasonably possible. Processing times may depend on the payment provider or bank. Yadah will communicate any material delay. Where an order is cancelled because Yadah cannot supply the goods, the appropriate refund will be made in accordance with applicable law.
WARRANTIES AND REPAIRS
Products sold by Yadah may be covered by a manufacturer’s warranty, supplier warranty or an additional warranty expressly provided by Yadah. The applicable warranty period and conditions may differ by product and should be checked before purchase. Customers should retain their invoice or order confirmation as proof of purchase.
Warranty Claims
To initiate a warranty claim, the Customer should contact Yadah and provide the product details, proof of purchase and a description of the fault. Yadah may request that the product be submitted for inspection or testing. Where required, the product may be referred to the manufacturer, distributor or authorised service centre for assessment or repair. The Customer will be informed of the applicable procedure and any reasonable time estimate available.
Warranty Exclusions
Subject to applicable law and the terms of the relevant warranty, a manufacturer’s warranty may not cover damage caused by:
- Physical abuse, impact, liquid ingress or accidental damage.
- Incorrect installation, wiring, configuration or operation.
- Use outside the manufacturer’s stated operating specifications.
- Unauthorised repairs, modifications or tampering.
- Electrical surges, lightning or unsuitable power supplies where excluded by the
applicable warranty. - Normal wear and tear or consumable components excluded by the warranty.
These exclusions do not automatically remove a Customer’s legal rights where the fault
existed at the time of supply or where applicable law provides a remedy.
No Fault Found
If an item submitted for testing is found to be functioning within the manufacturer’s specifications, Yadah may explain the findings to the Customer. Any diagnostic, testing, transport or handling charge must be disclosed and agreed in advance where required, and must be lawful and reasonable. No charge will be imposed merely to discourage a legitimate statutory warranty claim.
Repairs Outside Warranty
For repairs outside the applicable warranty, Yadah may provide a repair estimate covering labour, parts and any relevant diagnostic fees. Repair work will only proceed after the Customer has accepted the estimate. If additional faults or costs are discovered, Yadah will seek the Customer’s approval before proceeding with additional work. Repair warranties, where offered, will be stated on the repair invoice and will apply to the workmanship and parts specified, subject to the written repair terms and applicable law.
Uncollected Repairs
Yadah will make reasonable efforts to contact customers when repairs are completed. If an item remains uncollected, Yadah may issue a written collection notice and provide a reasonable period for collection. Any storage charges, disposal or other action relating to uncollected items will be subject to prior disclosure where applicable and the requirements of Eswatini law. Yadah will not assume ownership of a Customer’s property solely because it has not been collected.
CLEARANCE, OPEN-BOX AND REFURBISHED PRODUCTS
Products may be advertised as clearance, end-of-line, open-box, refurbished, ex-display or shop-soiled items. Where applicable, the product listing will identify the relevant condition and any known limitations or missing accessories. Unless otherwise stated, clearance pricing is final for the period advertised and is subject to stock availability. Customers should review the product description carefully before purchasing clearance or refurbished goods. A reduced price or clearance label does not, by itself, remove applicable statutory consumer rights. Any additional warranty or return limitations for clearance, open-box or refurbished products must be clearly disclosed before purchase and will apply only to the extent permitted by law. Where a product has a known defect or cosmetic condition, that condition should be specifically described rather than relying solely on a general “sold as is” statement.
SOFTWARE, LICENCES AND DIGITAL PRODUCTS
Software, subscriptions, activation keys, digital licences and downloadable products may be subject to separate end-user licence agreements or subscription terms imposed by the relevant manufacturer or publisher. The Customer is responsible for reviewing applicable licensing conditions, device requirements and subscription periods before purchase. Unless otherwise specified, Yadah supplies licences according to the product description and licence type stated at the time of sale. Activation and continued use may depend on the manufacturer or publisher’s systems, eligibility requirements, account status and compliance with the relevant licence agreement. Yadah will assist with legitimate activation or licensing enquiries where reasonably possible, but cannot guarantee the continued availability of third party services beyond its control. Nothing in this clause excludes remedies available under applicable law for incorrectly supplied, invalid or misrepresented digital products.
INSTALLATION AND TECHNICAL SERVICES
Where Yadah provides installation, configuration, maintenance or technical support, the agreed scope of work will be described in the quotation, invoice or service agreement. Customers must ensure that the installation site is reasonably accessible and that any required power, network connectivity, permissions and supporting infrastructure are available. Unless expressly included in the quotation, the price of a product does not automatically include installation, configuration, cabling, civil works, travel or ongoing support. Products should be installed and operated in accordance with the manufacturer’s instructions and applicable safety requirements. Yadah is not responsible for damage caused by an independent third-party installer or unauthorised modification, except to the extent that Yadah is legally responsible for the damage.
LIMITATION OF LIABILITY
Yadah will exercise reasonable care in processing orders, supplying goods and providing services. To the extent permitted by law, Yadah will not be liable for indirect or consequential losses that were not reasonably foreseeable or that are otherwise legally excluded. Nothing in these Terms and Conditions excludes or limits liability for fraud, willful misconduct, negligence where liability cannot lawfully be excluded, personal injury or death where liability cannot lawfully be limited, or any statutory consumer right or remedy that cannot lawfully be excluded. Where Yadah is responsible for a failure to supply goods or services in accordance with the contract, any limitation of liability will apply only to the extent permitted by applicable law.
EVENTS OUTSIDE OUR REASONABLE CONTROL
Yadah will not be regarded as having breached these terms solely because performance is delayed by an event beyond its reasonable control, such as severe weather, natural disasters, major transport disruptions, government restrictions, supplier shutdowns or widespread telecommunications or power failures. Yadah will take reasonable steps to minimise the effect of such events and communicate material delays to affected customers. Where an event prevents an order from being fulfilled, the Customer’s applicable rights to cancellation, refund or another remedy will remain unaffected.
PRIVACY AND PERSONAL INFORMATION
Yadah may collect and process personal information necessary to operate the website, process orders, arrange delivery, verify payments, provide customer support and comply with legal obligations. Such information may include the Customer’s name, contact details, delivery address, order history and payment-related transaction information. Yadah will handle personal information in accordance with its Privacy Policy and applicable data protection laws, including the Eswatini Data Protection Act, 2022. Where necessary, relevant information may be shared with payment processors, delivery companies, manufacturers, service providers or lawful authorities for legitimate business or legal purposes. Yadah will take appropriate measures to protect personal information and will not sell personal information in a manner contrary to applicable law. Customers should consult the separate Privacy Policy on our website for further information about data collection, retention, rights and contact procedures.
WEBSITE USE AND INTELLECTUAL PROPERTY
The content of the Yadah Technologies website, including its branding, text, product descriptions, graphics and other materials, is protected by applicable intellectual property laws. Customers may use the website for lawful browsing and purchasing purposes. Without permission or a lawful basis, users may not reproduce, republish, commercially exploit or distribute Yadah’s protected content. Users must not attempt to interfere with website security, submit fraudulent orders, introduce malicious software or use the website for unlawful purposes.Product names, logos and trademarks belonging to manufacturers and other third parties remain the property of their respective owners.
CUSTOMER COMPLAINTS AND DISPUTE RESOLUTION
Customers are encouraged to contact Yadah directly if they have a complaint relating to an order, product, delivery, refund, warranty or service. We will make reasonable efforts to acknowledge and investigate complaints and communicate an appropriate resolution. Where a complaint cannot be resolved directly, either party may pursue any remedy or complaint procedure available under applicable Eswatini law, including referral to a competent regulator or court where appropriate. Nothing in this clause prevents a Customer from exercising a statutory right to lodge a complaint with a competent authority.
AMENDMENTS TO THESE TERMS
Yadah may update these Terms and Conditions from time to time to reflect changes in its business operations, products, payment arrangements, website functionality or applicable law. The latest version will be published on our website with an updated effective date.Changes will generally apply prospectively. An accepted order will ordinarily remain governed by the terms applicable when it was accepted, unless a change is required by law or the parties agree otherwise. Where the law requires advance notice or consent, Yadah will provide the necessary notice or obtain the necessary consent.
GENERAL PROVISIONS
If any provision of these Terms and Conditions is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure by Yadah to enforce a provision on one occasion does not automatically waive its right to enforce that provision later. These Terms and Conditions should be read together with the relevant order confirmation, quotation, applicable warranty terms, Privacy Policy and any additional agreement expressly accepted by the Customer. Where there is a conflict, applicable law will prevail. Any other conflict will be resolved by reference to the relevant agreement and the circumstances of the transaction.
GOVERNING LAW AND JURISDICTION
These Terms and Conditions are governed by the laws of the Kingdom of Eswatini. Subject to applicable law, disputes arising from the use of our website, purchases or services will be dealt with by the competent courts or other lawful dispute-resolution bodies in Eswatini.Nothing in this clause prevents a Customer from exercising any mandatory legal right in another competent forum where the law permits or requires it.
